| POSITION SUMMARY: This is a newly created position that will report to the Chief Risk Officer. This role will work closely with the Chairperson of the Audit Committee, the CEO, and manage the Internal Audit department. This is a highly visible and critical role for the organization as it has tremendous growth and acquisition plans. The Director of Internal Audit’s expertise of the inner workings of an internal audit department within the banking industry will be relied upon to build and develop the department. Principal Duties and responsibilities: Development: · Assist in the development, maintenance, and continued improvement of the Audit department Job Function: · Supervise and review work of internal auditor on staff · Manage relationship with outsourced internal audit firm that includes, but is not limited to: o Developing risk assessment and resulting scope and fees of work; obtaining Audit Committee approval o Monitoring progress again approved audit plan o Reviewing findings and managements’ responses o Evaluating deficiencies noted in SOX 404 work and working with management to communicate and remediate issues, if necessary o Performing “quality control” reviews of work papers and reports o Assessing outside firm’s performance and if necessary, make recommendations to Audit Committee · Assist CFO and Controller in managing external auditor relationship, especially in completion of their SOX 404 procedures and in areas where they rely on Internal Audit work for their financial statement audit · Validate corrective actions to address findings and recommendations from the bank’s compliance testing, internal audits, and regulatory examinations · Assist CFO and CEO in ensuring that risks are identified, evaluated, and managed in the following areas: Operations, Financial Reporting, Regulatory Reporting, Reputation, Compliance & Fraud |

| POSITION QUALIFICATIONS: The ideal candidate will possess a minimum of 10 years of relevant regulatory and/or bank auditing experience. Candidate must have experience managing and developing an Internal Audit function within a financial institution. Candidate must also have the experience and ability to create a strong Internal Audit department. Education: Bachelor’s Degree in Accounting or Finance is required; CPA, CIA or comparable certificate required. Candidates must also: · Build credibility by displaying initiative and decision-making abilities, in order to advance the growth strategy of the organization and drive continuous progressive change · Successfully build strong working relationships and interact well with associates at all levels of the organization · Effectively challenge management responses when necessary and resolve issues in the best interest of the company · Be able to plan and implement projects through the use of effective project management techniques |

| It is highly preferred that the candidate has set up an Internal Audit department within a bank that ranges from $5B-$10B in assets. Our client provides very niche services and customized lending - so the ideal candidate will have worked with very complex type of audits. MBA preferred |
